REFUND POLICY | LEAD GENERATION AGREEMENTThese Terms of Service ("Agreement") govern your access and use of the Merchant Lead Finder system ("Service"), a monthly subscription-based lead generation product provided by IMC Payments LLC("Company", "we", "us", or "our"). By purchasing or using our Service, you ("Customer", "User", or "you") agree to be bound by this Agreement.1. Subscription and Payment
The Service is provided on a monthly subscription basis.
By enrolling, you authorize us to charge your payment method on a recurring monthly basis until you cancel.
Fees are non-refundable except as described in Section 4 (Money-Back Guarantee).
We reserve the right to adjust pricing with at least 15 days’ notice prior to the next billing cycle.2. Service Description
The Merchant Lead Finder provides:
Verified, exclusive or semi-exclusive merchant leads.
Tools and support to improve lead conversion (e.g., templates, CRM integration, etc.).
A proprietary matching algorithm to connect users with targeted business prospects.
We do not guarantee closed sales or specific revenue outcomes from leads provided.3. Lead Delivery Expectations
The Service will deliver at least 4 qualified leads within the first 30 days of subscription, unless otherwise agreed in writing. A "qualified lead" is defined as a business contact actively seeking merchant processing information.4. 30-Day Money-Back Guarantee
We offer a 100% money-back guarantee under the following conditions:
You must submit your refund request within 30 calendar days of your initial Live subscription date.
The refund is granted only if you received fewer than 4 qualified leads within the first 30 days.
Refund requests must be sent to [email protected] and include your registration email and reason for the request.
We reserve the right to verify lead delivery history before issuing a refund.
Refunds will be processed within 15 business days of approval.5. Cancellation and Termination
You may cancel your subscription at any time via your account dashboard or by contacting support.
Cancellations take effect at the end of the current billing period. No partial-month refunds will be issued unless covered by the money-back guarantee.
We may suspend or terminate your access for nonpayment, misuse, abuse, or violation of this Agreement.6. Intellectual Property
All content, tools, scripts, software, and materials provided as part of the Service remain the exclusive property of the Company. You may not copy, resell, or reproduce them in any form without written permission.7. Limitation of Liability
To the fullest extent permitted by law, the Company is not liable for any indirect, incidental, special, or consequential damages, or for lost profits or data, arising from your use of the Service.8. Dispute Resolution
Any disputes arising under this Agreement shall be resolved via binding arbitration in Wyoming. Both parties waive the right to class-action lawsuits.9. Modifications
We may update this Agreement at any time. We will notify users of material changes via email or the Service dashboard.-------LEAD GENERATION AGREEMENTThis Agreement ("Agreement") is entered into as of [Effective Date], by and between Merchant Lead Finder a division of IMC Payments LLC, a Wyoming corporation ("Company"), and the undersigned individual or entity ("Representative", "Rep", or "User").
This Agreement governs the use of the Company’s lead generation platform, services, tools, and resources provided to the Representative. By signing this Agreement or using the Service, the Representative agrees to be bound by the following terms:

The Company agrees to provide merchant processing leads and supporting tools to the Representative for the sole purpose of enabling the Representative to pursue and close merchant services accounts.2. Independent Contractor Status
• The Representative acknowledges they are an independent contractor and not an employee, partner, franchisee, or legal agent of the Company.
• Nothing in this Agreement shall be construed to create a joint venture, partnership, or employer-employee relationship.
• The Representative is solely responsible for taxes, insurance, licenses, and legal compliance related to their business activities.3. Lead Access and Usage
• The Company will provide access to leads based on the subscription plan or agreement in place.
• Leads may include business names, contact information, and qualifying data.
• The Representative shall not resell, distribute, share, or transfer any leads to third parties.
• All leads remain the property of the Company until or unless a signed agreement between Rep and prospect is executed and submitted.4. Confidentiality
• All non-public information, including but not limited to lead data, marketing scripts, pricing models, and technology, is confidential.
• The Representative agrees to protect and not disclose such information during and for 3 years following termination of this Agreement.5. No Guarantees
• The Company does not guarantee income, sales, or success. While best efforts are made to qualify leads, performance outcomes vary based on the Representative’s skill, effort, and follow-up.
• The Representative accepts that no warranty or assurance is made regarding the number of accounts closed or income generated.6. Limitation of Liability
To the fullest extent permitted by law:
• The Company shall not be liable for any indirect, incidental, special, punitive, or consequential damages, including loss of revenue or business opportunity.
• The Representative agrees that any claim against the Company is limited to the fees paid by the Representative in the 30 days preceding the claim.
• The Company shall not be responsible for any misuse, error, or omission made by the Representative using the Service.7. Indemnification
The Representative agrees to indemnify, defend, and hold harmless the Company, its owners, officers, affiliates, and employees from any and all claims, liabilities, damages, costs, and attorney’s fees arising out of:
• Breach of this Agreement,
• Misuse of the Service,
• False representations to clients or prospects,
• Violation of any federal, state, or local law by the Representative.8. Dispute Resolution and Governing Law
• This Agreement shall be governed by and construed under the laws of the Wyoming, without regard to its conflict of law provisions.
• Any dispute shall be settled by binding arbitration in Sheridan Wyoming, administered by the American Arbitration Association.
• Both parties waive any right to a class action or jury trial.9. Non-Solicitation
The Representative agrees not to solicit or attempt to solicit any employee, contractor, or lead provided by the Company for a period of 12 months following the termination of this Agreement.10. Termination
• Either party may terminate this Agreement with written notice.
• Upon termination, the Representative must immediately cease use of Company systems, leads, branding, and proprietary materials.
• Any outstanding fees or obligations will remain due.11. Entire Agreement
This document represents the entire understanding between the parties and supersedes all prior agreements, written or oral. Any changes must be in writing and signed by both parties.12. Electronic Acceptance
